IRREVOCABLE CORPORATE PURCHASE ORDER
DIESEL 2 GAS OIL


We, Argus Research Group hereby confirm with full corporate authority and legal responsibility that we are ready, willing and able to enter into a Purchase Contract for Diesel Gas Oil (D2) under the following terms and conditions:

Commodity: Diesel Gas Oil (D-2) Colonial or Russian Spec (Gas Oil GOST 305-82)

Specifications: Standard specs to be included in contract

Quantity: 200, 000 (Two Hundred Thousand) metric tons or quantities as agreed. And, to be rolled into monthly spot deliveries for a 12 month contract with possible rolls and extensions.

Delivery: FOB Houston

Price: $745.00 USD Net per Metric Ton, including commission of $10 per Metric Ton of which $ 5 is to be paid to Argus Research and the remaining $ 5 is to be paid to other parties.

PAYMENT: UPON VERIFICATION OF THE TANK STORAGE RECEIPT AND PRODUCT SPECIFICATIONS, BUYERS BANK WILL PROCEED WITH THE PAYMENT BY WIRE TRANSFER OR CONDITIONAL SWIFT MT-103 AGAINST RECEIPT OF TITLE.

COMMERCIAL BANKING GROUP -- LOS ANGELES


Procedure:
1. Bank to bank confirmation of proof of fund and proof of product This is to be accomplished on date.08
2. Seller to provide a copy of storage receipt to buyers bank on *****08
3. On *****08 Seller provides a letter to buyer accepting ICPO and confirming the date of delivery, which will be July date, 2008
4. On July date., 2008, FULL POP submitted to Buyer via bank including Tank Receipts/SGS. Upon verification of ownership of the Tank Receipt the closing will take place, at Seller date choice, either by:
a. Buyer date bank will send notice 103 funds are locked and ready to wire upon receipt of transfer of title. OR
b. Buyer deposits funds in an Escrow and upon transfer of title it is closed.
