Offshore Company Incorporation Package(Company Registration and Corporate Bank Account)

For BVI, Marshall Islands，Seychelles，Samoa (Custom Made Company).

1. The procedures of registration and setting up Corporate Bank Account :

Step 1
You confirm and engage COLVASS CONSULTING to register an offshore company . If so requested, COLVASS CONSULTING will prepare and sign an engagement letter with you. Please note we require full payment in advance before providing services.


Step 2
COLVASS CONSULTING issue an invoice of the fees and sent the invoice to you and you arrange payment by check, bank transfer or wiring or Paypal. Detailed instructions will be provided upon confirmation of order.


Step 3
You provide the following materials to COLVASS CONSULTING

* Amounts of authorized share capital and issued capital, percentage of shareholdings if more than one shareholder;

* Proposed company name, either in English only or both English and Chinese;

* A brief description of the principal business activities of the Company;

* One photocopy of passport (only the page showing the particulars of the holder) and residential address of each director; if director is another corporation, please provide Certificate of Incorporation and Registered Office of that corporation;

*  One photocopy of passport (only the page showing the particulars of the holder) and residential address of each shareholder; if shareholder is another corporation, please provide Certificate of Incorporation and Registered Office of that corporation.



Step 4
COLVASS CONSULTING check the availability of the proposed company name. If available and after payment confirmed, COLVASS CONSULTING proceed to registration; if not available, COLVASS CONSULTING will go back to you for more company names and perform the availability search again.


Step 5
COLVASS CONSULTING receive the Certificate of Incorporation from the Registrar of Companies.


Step 6
COLVASS CONSULTING attend to the followings:

(1) Update Register of Directors;

(2) Prepare Consent to Act as Director for each director;

(3) Printing Memorandum and Articles of Association;

(4) Carve Common Seal and rubber chop;

(5) Prepare Share Certificate;

(6) Prepare Application for Allotment of Share(s) for each shareholder;

(7) Update Register of Members;

(8) Prepare minutes of First Board Meeting.


Step 7
COLVASS CONSULTING arrange to deliver the above documents/materials (together known as Company Kit) to you.


Step 8
You need to sign the following documents:

(1)  Consent to Act as Director;

(2)  Application for allotment of shares;

(3)  Share Certificate;

(4)  Minutes of First Board Meeting.

and then give us a copy of the duly signed documents as listed above to COLVASS CONSULTING. Registration procedures completed.


Step 9
Once the documentation for the registration is completed, we arrange the client to our offices or come to Hong Kong and visit the bank to open the bank account.


Step *0
We visit the bank with the client and present the account opening documents to the bank and the bank process the account opening.


2. Documents and Information Required for Incorporation and Account Opening

* Amount of share capital (unless otherwise advised, all company will be incorporated with a standard share capital of USD*0,**0) and percentage of shareholding by each shareholder, if more than one shareholder;

* A photocopy of identity card or passport of each director and shareholder;

* Proof of business activities to be carried out by the company, such as brochure, purchase order, invoice, L/C or business plan;

* Proposed name of the company;

* Residential addresses with proof of all directors and shareholders, such as utility bill, telephone bill;

* A brief description of the principal business activities of the new company;

* A photocopy of identity card or passport of the authorised signer, if the signer is not the director or additional signer is to be added.


3. Documents Given to Clients after Registration and bank account is set up

(1) Minutes for the appointment of first director(s);

(2) Original copy of Certificate of Incorporation;

(3) Common Seal and company chop;

(4) Ten copies of share certificate;

(5) Bank account number, Internet banking security device, ATM card and Check book;

(6) Three copies of Memorandum and Articles of Association.
