This agreement is facilitated by KLOGISTICS INTERNATIONAL TRADE (THE FACILITATOR) who is into the business of conducting legal trade transactions of various items, products and commodity across the globe between buyers, sellers and end users. The facilitator is an affiliate of *******6 Canada Inc., a company registered under the Canadian Company Law.
The buyer and seller are collectively referred to as PARTIES.
PARTIES and their authorized representatives whose signatures appear herein, were all duly given full corporate authority by their respective company to enter into the present sale and purchase agreement (hereinafter " contract"), and have duly complied with all the legal formalities and requirements of laws of their respective countries for this agreement and
WHEREAS
The above named parties through their respective signatories hereby desire to enter into and to execute the present Sale and Purchase ofCOPPER CATHODES herein after referred to as commoditymade possible by the facilitator based on specific description, terms and conditions as set forth below.
LEGAL STATUS
SELLER is a duly registered company under the under the laws guiding company registration in   
Seller, with full legal and corporate responsibility, warrants that they have reliable sources under legal authority, that they are the rightful owners of the specified quantity and quality of copper cathodes stated in this transaction and  hereby agree to sell to the BUYER hereto the quantity and quality of copper cathodes thereto under full authority and responsibility, declares that he is the owner and has the clear and qualified right and capacity to sell the COMMODITY at his free disposal in the form of which it has legally acquired with funds not connected with illicit trading or other illicit activities and that he guarantees that he has the means to legally export COPPER CATHODES THE COMMODITY from.
Seller will prove its legal status as stated above in a detailed ASSERTATION LETTER attested to by its lawyers or legal representative presented to parties in this agreement and duly attached within three (3) of signing this SPA.
Seller has further provided *************************************- to show its relationship between itself and the financier bank and show that it has been nominated by the seller to finance the export of the commodity stated herein. (acknowledgment of nomination by financier bank)
Seller under the authority of its CEO, has nominated and authorized. ……………to be the financier in this Contract, and herby shall receive all payment on Behalf of the seller.
 
BUYER is a (representative or company) registered or duly appointed by the registered company intends and has the ability to purchase Seller's COMMODITY under the following terms and conditions.
BUYER has access to legally acquired funds not connected with illicit trading or other illicit activities and that he guarantees that he has the means to legally procure THE COMMODITY which is from___________to the designated port through its bank.
Buyer will prove its legal status as stated above in a detailed ASSERTATION LETTER attested to by its lawyers or legal representative presented to parties in this agreement and duly attached within three (3) of signing this SPA.
Non production of this assertation letter makes transaction null and void.
NOW THEREFORE; in consideration of the mutual covenants herein contained, both Parties hereto hereby agree to willingly bind and obligate themselves to act and perform as follows, to with shall be first shipment  *0, **0MT followed by *5,**0MTS per month for the next preceding eleven (*1)months after the first shipment(*2) months with rolls and extensions depending on buyers Purchasing capacity.Thus parties agree as follows:
TRANSACTION CODE.  parties hereby agree that the transaction code under this SPA shall be known as TRANSACTION CODE:KARCUS****3#***1 and parties further agree that all communications, agreements, commitments  and or directives pertaining to the conduct of the said transaction under this SPA shall always bear the Transaction Code stated in this contract.
TERM: this contract shall be for duration of twelve (*2) months with an option of renewal

Payment Terms: Buyers bank will pay full payment to seller via non-refundable, nontransferable and confirmed credit LC after CCIC at destination port. (LC WILL BE OPENED WITH CHINA MERCHANTS BANK)
Performance Bond: Seller's Bank issues 2% PB after the buyer issues LC (within *0 working days).

INSPECTION: Final assay to be made at the buyers destination port by CCIC inspection and the result of value will be accepted by both Buyer and Seller.

SUBSEQUENT DELIVERIES: subject to mutual agreements by parties to this transaction.
QUANTITY: the contractual quantity of Copper cathode for sale to the Buyer under the terms of this agreement shall be first shipment *0,**0 MT for the first month then *5,**0MT monthly for the preceding *1 months. *5,**0MT X *1 MONTHS = **5,**0MT.
SHIPMENTS: all shipments must be completed within the period of this contract which is period of *2 months beginning upon the execution of this contract.
PRICE: the agreed contract price is net price **5% price below LME **8% Gross USD ($) per Metric Tons/(MT).
Terms of Payment: DLC MT **0 non-transferable validity **0 days
Note: The price will NOT be renegotiated, all the contract duration time long fixed at the price is net price **5% price below LME **8% Gross USD ($) per Metric Tons/(MT).
SERVICE FEE: Seller and buyer intermediaries, including facilitators service fee shall be paid by the Seller.

TRANSACTION PROCEDURE
Seller sends the SPA to the buyer through the facilitator.
After buyer receives the SPA it shall amend where necessary and approve by filling in the SPA all buyers buying details and buyers bank documentary letter of credit (dlc) mt **0 issuing bank full details that must be filled and presented for this contract, buyer shall further sign and seal the SPA subject to all procedures laid down by the facilitator in order to enable and easy and transparent contract .
Seller upon receiving the signed and sealed SPA from buyer through the facilitator, it shall fill it with its bank details, execute it subject to procedures laid down by the facilitator in negotiating this contract and prepare commercial invoice then send both the duly signed and sealed SPA as well as the commercial invoice to the buyer in a pdf format  through the facilitator as there will be no futher amendment allowed except by agreement of all parties to this transaction and such shall be in writing.
The buyer after receiving the commercial invoice and the duly signed spa from seller through the facilitator, it shall issue directly to the sellers nominated project financier bank account the operative, non-transferrable irrevocable documentary letter of credit (dlc) mt **0.
After buyer issues/ opens the operative, non-transferable irrevocable documentary letter of credit (dlc) mt **0; three days after the operative non-transferable irrevocable documentary letter of credit (dlc) mt **0 is opened/issued. The nominated project financier shall issue a 2% performance bond (2%pb) to the buyer.
The seller shall further pay all the copper cathode cargo shipment/export taxes/export charges fees, etc to the government and customs authorities where applicable in order for the seller to get the copper cathode shipment cargo full export documents, after this step, the seller, shall issue some applicable important and necessary copies of relevant, copper cathode export/shipment cargo documents and its corporate company document to the buyer through the facilitator
Note: at this stage is where the seller shall send to the buyer the proof of product (pop) ,which includes copies of documents of the copper cathode shipment cargo shipment, videos and photos  copies of companys  documents etc. to the buyer through the facilitator.
After the above is completed, the seller shall ship the copper cathodes shipment to the buyers destination port/ warehouse/ facility which ever is nominated. Whereas, after delivery and final inspection report is completed by an international independent inspection company either by alex stewart, sgs, alfred h.knight, ciq etc.  is when the buyer shall pay nominated project financier by bank to bank wire telegraphic transfer (bank t/t) Mt.
Upon delivery of goods to the buyers destination and after final inspection /assay report at the buyers destination refinery , all payment shall be made via bank wire transfer (t/t) mt**3 to the sellers nominated bank account.
Buyer shall open the transferable, operative, irrevocable documentary letter of credit (dlc) mt **0 in favor to nominated project financier bank account, after which seller confirms opened transferable, operative, irrevocable documentary letter of credit (dlc) mt **0, seller shall export or ship the goods to the buyers destination. After sellers nominated project financier account receives the transferable, operative, irrevocable documentary letter of credit (dlc) mt **0from buyer/buyers bank.
Buyer has agreed to pay the entire custom fee, import taxes and the inspections fees, assay fees at the buyers port /country of destination where the seller shall pay all the export taxes, inspection fees, and freight/insurance fees at loading port.
Buyer undertakes that the commodity remains the property of seller's or seller's designated entity until seller/sellers nominated bank account has received full payment of the price quoted in this agreement spa.
Buyer's destination port location must be acceptable to seller and agreed by parties to this transaction and buyer further confirms to have the commodity inspected at its expense at designated port.
Upon receiving transferable, operative, irrevocable documentary letter of credit (dlc) mt **0from buyers bank, nominated project financier bank issues operative 2% performance bond, equivalent to the value of transferable, operative, irrevocable dlc mt **0to buyers bank.
The payment method for this transaction shall be transferable, operative, irrevocable documentary letter of credit (dlc) mt **0at sight against bill of lading and certificate of transfer of ownership after receipt of **0% satisfactory quality buyers inspection report certificate at destination port.
Price of commodity is negotiated by the facilitator and agreed upon by parties to this contract.
Buyer and seller mutually agree to sign a pre-contract agreement with the facilitator stating the modules and procedures in which this contract will be executed.
Seller and buyer signs the SPA under the supervision of the facilitator after which they produce their respective assertation letter appended to by their legal representative within three (3) days of signing this SPA.
Buyer shall have the exclusive opportunity to inspect the commodity before shipping. This inspection can be carried out buyer, its representative and or the facilitator.
Where the facilitator conducts the inspection, the buyer shall be responsible for the cost to be incurred by the facilitator for the inspection of the commodity.
 
Nothing in the above statement is making The Facilitator liable for statements ascertaining the authentication of commodity.
While physical inspection of commodity takes place pursuant to this contract, parties shall adhere to all the provisions of the pre-contract agreement signed between them and the facilitator respectively.
During inspection at port of loadingseller will provide SGS certification for quantity and quality at loading port for verification by buyer, its representative and or the facilitator who shall be present for inspection.
Shipment of product is made in accordance with provisions contained in this contract.
Where under any foreseen or unforeseen circumstance this contract is being unable to be performed and or executed by Parties collectively and or separately The Facilitator shall be paid its commission in full as agreed by Parties prior to the execution of this contract.
Non-performance of this agreement by parties to this contract shall not deprive the facilitator its commission has earlier agreed by Seller.
Where the non-performance is an action, non-action, act, omission or negligence by the Buyer, the Buyer shall pay The Facilitator the agreed service fee stated in this transaction.
Where the seller upon receiving payment willfully and persistently refuses to credit the facilitator its service fee, it shall pay double the service fee and will also pay fine as may be prescribed by facilitator within five (5) working days of such demand by the facilitators legal representative which shall be in writing and served either by hand or electronically.
Nothing in this agreement will make the facilitator liable for any act, opinion, information, misinformation, negligence, omission, breach or any other action committed by Parties to this contract which affects the procedure or goes to the root and performance of this contract.
 
DELIVERY TERMS
The delivery for this commodity shall be on a cif to the buyers destination port, seller will pay all local inland transportation, export/shipment charges, taxes, fees, duties, levies and other costs, required in the country of export/shipment origin, till goods arrive at the buyers port of destination. Delivery shall be within *1 /*8/*2 days after the seller's financier's nominated bank account receives documentary letter of credit (dlc) mt **0 from buyer after  seller will ship the goods to the buyer's destination.
Where seller fails to deliver goods within stipulated time after payment has been made (quality and quantity) the 2 % pb will be paid as a compensation accordingly.
 
Seller will notify the Buyer via e-mail through the facilitator, of the date of transport of the COMMODITY from Seller's port of loading. In the same manner, Buyer will confirm receipt of Seller's Notice, which will include bill of lading and all shipping documents
During the first shipment of COMMODITY, Seller shall be physically present at the designated buyers port to ensure all procedures have been followed and delivery was completed with the buyer.
 
SHIPMENT PROCEDURE
Seller clearing agent shall do export arrangement as per CIF terms, (import taxes shall be on buyers side)
Seller ship copper cathode to destination recommended by the buyer within *1 days after signing the contract and sellers nominated bank account receives the buyers opened operative DOCUMENTARY LETTER OF CREDIT(DLC) MT **0
Buyer shall arrange inspection at the buyers port of destination)
Seller allows purity verification at buyers destination and the costs inspection shall be borne by the buyer.
After final inspection report confirms and authenticates value of the received shipment, payment shall be made to the Seller against final inspection certificate, certificate of ownership transfer and shipping documents through the sellers and buyers
 
DELIVERY DOCUMENTS
Each shipment and delivery shall be identified with all appropriate contract reference with set of documents. The Seller shall provide the following documents for each shipment and seller issues Proof of Product (POP) to the Buyer by providing the following Documents
  1.  Certificate of purity analysis report
  2.  Certificate of origin, ownership certificate and export
  3. Original Bill of Lading (B/L)
  4. Copies of commercial invoices and Packing list.
  5. Insurance cover note for **0% of the entire shipment cargo
 After goods have arrived buyer's destination, buyer shall appoint an International Inspection Company (SGS/Alex Stewart/Alfred H.Knight or CIQ) to re-inspect the cargo at the Port of destination before payment is made to the seller, the costs for re-inspection shall be borne by buyer.
TITLE OF GOODS
The title of the commodity shall be pass from the Seller or Sellers designated entity to the Buyer once the payment for the commodity is made to the Seller/Sellers bank against the certificate of final inspection as stated above in conjunction with presentation of documents accompanying shipping of the commodity.
 
TAXES AND INSTITUTIONAL COSTS
The parties hereto individually and separately accept that all liabilities for taxes, levies, duties, charges and any institutional costs applicable in the execution their respective roles and regulations will be covered by respective parties.
In the event that taxation or other costs occurs, the parties hereto shall only be responsible for those commissions and fees that they in writing have agreed to pay. Where tax payment is also territorial, the parties shall pay the appropriate tax as required by the law of its country in relation to relevant tax laws, shipping and delivery. Each party shall indemnify and hold the other party harmless against any third-party claims or other forms of payment demands of above-mentioned nature.
 
DIFFERENCES IN QUALITY AND QUANTITY
The seller shall take full responsibility of damages where commodity's quantity and quality doesnt meet specification stated in this agreement.
Where commodity doesn't meet agreed specification as agreed by the terms provided in this contract, the seller shall immediately makeup for such deduction and or short comings without hesitation.
Buyer shall fulfill its obligation by ascertaining product specification, payment of commodities (as agreed in this contract) and shall not under false presence or any other form deny the accuracy of the information describing the commodity.
Buyer shall fulfill its obligation to pay all fees relating to this commodity as stated in this contract and shall not cause undue delay in the payment of such.

ETHICS: NON-CIRCUMVENTION AND NON-DISCLOSURE
 Parties hereto hereby agree to keep this transaction confidential to the Parties involved herein. No disclosure to any other person, institutions, companies, corporations, etc, shall be entertained or given access by information without prior consent by either party which must be given in writing under the advice and supervision of the facilitator.
Nobody under the employ or assigns by either party hereof shall circumvent either party in transacting the same business with any of the principals under this transaction, whether during or after the maturity of this particular transaction. Should any of the parties involved herein conduct or transact the same business with any of the principals herein without the knowledge of the other Party, the Party in breach of this provision shall compensate the aggrieved Party equivalent to the payments and service fee due under this contract.
Seller and Buyer shall treat information provided by the other party on a strictly private and confidential basis. Seller and Buyer shall take all necessary steps to prevent the others confidential information from being misused, disclosed or made public to any third party except as needed to successfully complete the contract or to avoid conflicting claims (and except as may be required in accordance with the applicable law.
 Buyer shall not use the confidential information provided by the Seller in such a way as to circumvent the Seller in the commercial dealings with any and all supplies under the contract or do anything to circumvent the seller in such a way as to put seller at a commercial disadvantage with the suppliers or countries under this contract.
Seller shall not use the confidential information provided by buyer in such way as to circumvent buyer in the commercial dealings with the consignee if introduced by the buyer and or facilitator of this transaction or do anything to circumvent the Buyer in such a way as to put buyer at a commercial disadvantage with
